Terms of service

These terms govern your use of the Diagnosuya software and this website. By subscribing to or using the service, you agree to them. Please read them — particularly the sections on your responsibilities and on liability.

The service

Diagnosuya is cloud-based laboratory management software provided on a subscription basis. The features available to you depend on the plan you subscribe to, as described on our pricing page at the time of your subscription.

We may add, change or remove features over time. Where a change materially reduces functionality you rely on, we will give you at least sixty days' notice and you may terminate and receive a pro-rata refund.

Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. We strongly recommend individual accounts for each member of staff rather than shared logins — both for your own accountability and because shared credentials undermine the audit trail.

You must notify us promptly if you believe an account has been compromised.

Your responsibilities

You are responsible for the accuracy of the data you enter and for the clinical correctness of the reports you issue. The software assists with calculation, formatting and delivery; it does not perform clinical judgement.

  • Ensuring reports are verified by an appropriately qualified professional before release
  • Complying with all laws applicable to your laboratory, including registration, qualification and record-retention requirements
  • Obtaining any patient consent required for the processing and delivery of their data
  • Configuring reference ranges, formulas and report formats correctly for your methods and instruments
  • Reviewing migrated data for accuracy before going live

Acceptable use

You may not use the service to store or transmit anything unlawful, to attempt to gain unauthorised access to our systems or another customer's data, to reverse engineer the software, to resell access without our written agreement, or in any way that damages the service or other customers.

Fees and payment

Subscription fees are as set out on our pricing page or in your order. All fees are exclusive of GST, which is charged at the applicable rate on Indian invoices.

Subscriptions renew automatically at the end of each term unless cancelled before the renewal date. We give at least thirty days' notice of any price increase applying at your renewal.

If payment is not received, we will remind you several times before suspending the account. On suspension, your account becomes read-only rather than being deleted, and you retain access to view and export your data for ninety days.

Your data

You own your data. We claim no rights over it beyond those necessary to provide the service to you.

You may export your data at any time in standard formats, at no charge. On termination, we provide a full export and delete our copy on your written confirmation, other than records we are legally required to retain.

Availability

We aim for 99.9% monthly availability, excluding scheduled maintenance, which we announce at least forty-eight hours in advance and schedule outside Indian business hours wherever practicable.

We do not guarantee uninterrupted service. Cloud software depends on your internet connection, which is outside our control.

Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to these terms is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim.

We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss arising from your failure to verify reports or maintain your own records.

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

Termination

You may terminate at any time, effective at the end of your current billing term. Refunds are governed by our refund policy.

We may terminate if you materially breach these terms and do not remedy the breach within thirty days of written notice, or immediately if you use the service unlawfully.

Governing law

These terms are governed by the laws of India. The courts of Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from them.
